This Statement applies to company-owned outlets, franchised outlets, and Yitcha outlets operated by other companies that participate in Yitcha's internal music programme. It applies only to background music that has been approved and published through Yitcha's internal music library.

 

The actual operating entity and music usage of each outlet must be determined separately. This Statement does not expand the scope of any platform terms, third-party licence or existing agreement, and does not cover unauthorised external playlists, radio, television, live performances or other external music sources.

According to confirmation provided by the holder of the music-generation account, the twenty tracks internally registered as YITCHA-AI-01 to YITCHA-AI-20 were generated using the account holder's own Suno account.

According to the account holder, during the creation process:

• no third-party music or vocal material was uploaded;

• no third-party songs were used for cover versions;

• no third-party songs were used for remixing; and

• no third-party songs were used for extension.

 

These statements describe the source and method of creation of the relevant tracks. The fact that music is AI-generated or generated under a paid subscription is not, by itself, relied upon as proof that no third-party rights exist.

The creation-source statements in this section currently apply only to tracks YITCHA-AI-01 to YITCHA-AI-20. Any additional track must undergo a separate source and rights review before being included in Yitcha's internal music programme.

Based on the account holder's current knowledge and arrangements made by the account holder, the account holder has not actively joined, registered the above tracks with, or separately appointed MACP, RPM, PPM, or another collective management organisation to administer or collect usage fees in respect of those tracks.

This statement relates only to registrations, authorisations and rights-management arrangements made by the account holder and does not deny or exclude any third-party rights, platform arrangements or rights arising by operation of law.

Yitcha maintains records relating to the relevant tracks, including, where applicable:

• internal track identification numbers;

• source links;

• officially downloaded audio files;

• file-identification information;

• generation and download records;

• relevant subscription records;

• applicable platform terms and commercial-use information; and

• internal review and approval records.

 

After verifying the identity of the requesting party, its authority to act, and the scope of the request, we may provide relevant information where appropriate for verification of a specific rights enquiry.

• 未经批准的商业音乐文件；或

• 任何其他未经总部批准的音源作为门店背景音乐。

 

内部批准属于公司的运营及合规控制措施，并不替代依法需要取得的任何许可、授权或同意。

Participating outlets may only use music and playlists that have been approved and published through Yitcha's internal music library.

 

Uploading, reviewing and approving music is handled by designated authorised personnel. Playback, download and other related permissions are granted in accordance with the Company's internal access-control arrangements.

 

Employees must not independently use:

• personal Spotify or other music-streaming accounts;

• personal YouTube / YouTube Music;

• Apple Music;

• personal playlists;

• unauthorised commercial music files; or

• any other music source not approved by Yitcha HQ as in-store background music.

 

Internal approval is an operational and compliance control and does not replace any licence, authorisation or consent required by applicable law.

如 MACP、RPM、PPM 或任何其他机构、权利人或获授权代表认为相关音乐使用涉及其管理或拥有的权利、许可费用、版税或法定报酬，请以书面形式提供以下资料，以便我们进行核对：

（二） 所主张涉及的权利类别，包括但不限于词曲、录音制品、录音表演或其他相关权利；

（三） 相关曲目、录音或表演的识别资料，以及涉及的门店、经营主体、使用期间及使用方式；及

​

（四） 所依据的法律、合约或许可基础，以及所主张的收费类别、计算方法和计费期间。

如有关主张并非以识别具体曲目、录音或表演为前提，请说明有关主张适用于相关门店、经营主体及音乐使用方式的法律与事实依据。

以上属于资料核对请求，不对依法提出或处理任何权利主张增设法定条件。

If MACP, RPM, PPM, or any other organisation, rightsholder or authorised representative considers that the relevant music usage involves rights administered or owned by it, licensing fees, royalties or statutory remuneration, please provide the following information in writing to facilitate verification:

​

(a) the identity of the organisation and representative, the rightsholder represented, and information enabling verification of the relevant authority or representation;

​

(b) the category of rights claimed, including, where applicable, musical works, sound recordings, recorded performances or other relevant rights;

 

(c) identification of the relevant track, recording or performance, together with the outlet, operating entity, period and manner of use concerned; and

​

(d) the applicable legal, contractual or licensing basis, together with the category of fee claimed, method of calculation and charging period.

 

Where a claim does not depend upon the identification of a specific track, recording or performance, please state the legal and factual basis upon which the claim is considered applicable to the relevant outlet, operating entity and manner of music usage.

 

The above is a request for information to facilitate verification and does not impose additional legal conditions on the making or handling of any claim available under applicable law.

• the outlet concerned;

• the relevant operating entity;

• the track or music usage concerned, where applicable; and

Any notice or enquiry received by an outlet should be forwarded to HQ for coordination and handled by an authorised representative of the relevant operating entity.

Unless expressly authorised, ordinary outlet employees are not authorised on behalf of the relevant operating entity to:

• admit legal liability;

• accept any fee or payment demand;

• sign any application, declaration, acknowledgement, music licence agreement or other related document; or

• make any commitment to payment.

 

This internal contact and authorisation arrangement does not restrict any valid service, investigation, inspection, enforcement action or other statutory procedure carried out in accordance with applicable law.

Upon receipt of a specific and verifiable claim, we will review the relevant information and, where appropriate, may suspend the relevant track, provide additional information, obtain appropriate authorisation or take other necessary action.

​

Any verification, provision of information or temporary suspension of a track does not, by itself, constitute an admission of infringement or liability or acceptance of any fee claimed.

Yitcha does not assert that AI-generated music is automatically exempt from licensing requirements, copyright obligations, performers' remuneration or other legal obligations. Any responsibility or obligation must be determined having regard to the actual manner of music usage, the relevant rights, the relevant operating entity, and the applicable legal or contractual basis.

 

Nothing in this Statement:

• excludes any valid contractual obligation or right applicable by law;

• grants the public any licence to download, reproduce, distribute, publicly perform, adapt or otherwise reuse the relevant music; or

• causes the source or rights statements relating to the existing twenty tracks to apply automatically to any future tracks.

Yitcha maintains an internal identification, review and approval process for tracks included in its internal music programme.

​

The music currently covered by this Statement is registered internally as:

YITCHA-AI-01 to YITCHA-AI-20

Only music that has completed Yitcha's internal review and has an Approved / Published status may be included in official background-music playlists for participating outlets.

​

Relevant generation, subscription, official-download and internal approval records are maintained by Yitcha. Where a reasonable rights enquiry concerns a specific track, relevant information may be provided as appropriate after verification of the requesting party's identity, authority and scope of request.
